Publication of Prospectus in relation to £125,000,000 Subordinated Notes due 2024

The following prospectus (the "Prospectus") has been approved by the UK Listing Authority and is available for viewing:

Prospectus dated 18 December 2014 relating to the issue of £125,000,000 6.75 per cent. Subordinated Notes due 2024 by esure Group plc (the "Group").

The notes will be listed on the London Stock Exchange.

The proceeds will be used to finance the Group's proposed acquisition of the outstanding 50 per cent. of Gocompare.com Holdings Limited and for general corporate purposes.
