IMPERIAL TOBACCO GROUP PLC

RESULT OF GENERAL MEETING HELD ON 28 JANUARY 2015

On 15 July 2014, Imperial Tobacco Group PLC ("Imperial Tobacco" or the "Company") announced that it and its wholly owned subsidiary, ITG Brands, LLC (formerly Lignum-2, L.L.C.), had entered into an asset purchase agreement (the "Asset Purchase Agreement") with Reynolds American Inc. ("Reynolds") in relation to the proposed acquisition of certain U.S. cigarette and e-cigarette brands and assets currently owned by Reynolds and Lorillard, Inc. ("Lorillard") (the "Acquisition").

Imperial Tobacco is pleased to announce that at the general meeting of the Company held on 28 January 2015 (the "General Meeting"), the ordinary resolution to approve the Acquisition, as set out in the Notice of General Meeting contained in the Circular sent to shareholders dated 15 December 2014 (the "Circular"), was duly passed on a poll.

The voting of those members who returned proxy forms for the resolution passed at the General Meeting, representing a total of 78.70% of the total voting rights in the Company as at the date of the General Meeting, is summarised in the following table:

Completion of the Acquisition remains conditional on the fulfilment (or, where applicable, waiver) of the other conditions set out in the Asset Purchase Agreement, as described in the Circular.
