                          Parent company announcement

Tel Aviv, Israel, 13 February 2015

The Company refers to its announcement of 3 February, 2015 and to an
announcement made yesterday evening in Israel by BGI Investments (1961) Ltd. ("
BGI") (which beneficially owns Company shares representing approximately 25% of
the total issued and outstanding share capital of the Company (excluding
dormant shares) and controls in aggregate, directly and through proxies,
approximately 44% of the voting rights in the Company). Capitalised terms used
but not defined herein shall have the meanings given to them in the Company's
announcement of 3 February, 2015.

Based on said BGI announcement, the Company announces that the parties to the
Transaction entered into an amendment thereto on 12 February, 2015, pursuant to
which, the Transaction is now expected to complete by no later than 24
February, 2015.

The Company will update the market in respect of further developments with
regards to the Transaction, as appropriate.
