Top up Offer for subscription of New Ordinary Shares of 5p each

 (the "Offer")

Amati VCT 2 plc announces an allotment on 24 February 2015 of 215,863 New Ordinary Shares pursuant to the Offer.  In accordance with the Terms and Conditions of the Offer, the Offer price at which the New Ordinary Shares were allotted was 108.28p per ordinary share, which was calculated by reference to the net asset value of an ordinary Share on 19 February 2015 divided by 0.99 (to allow for issue costs of 1.0 per cent).

Following the allotment, the total number of ordinary shares in issue is 28,841,680 with voting rights.

Admission date of the New Ordinary Shares is expected to be 2 March 2015.  CREST accounts are expected to be credited within five business days of allotment and definitive documents of title are expected to be dispatched within ten business days of allotment.
