Director/PDMR Shareholding

On the 18^th March 2015 the following Executive Directors of the Company and other Persons Discharging Managerial Responsibility, were granted conditional awards entitling them to acquire ordinary shares of 5 pence each in the Company under the Ultra Electronics Long Term Incentive Plan 2007 as follows:

The awards will normally vest on the third anniversary of the grant date, subject to continued employment and the satisfaction of a performance condition based upon total shareholder return.

No consideration was paid for the grant of the awards and no payment is due on the vesting of the awards.
