NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMR") OR THEIR CONNECTED PERSONS

Notifications made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:

(i)  The Company was notified yesterday that the following PDMRs purchased ordinary shares of 2.5p each in BAE Systems plc at a consideration of 544.55 pence per share ("Deferred Shares") under the BAE Systems Deferred Bonus Plan on 25 March 2015.  The transaction took place on the London Stock Exchange.  The number of shares acquired was as follows:  

(ii)  The Company yesterday granted options over ordinary shares of 2.5p each in BAE Systems plc under the BAE Systems Long-term Incentive Plan 2014 ("Share Options") to the following PDMRs as set out below:

The option price is 542.5 pence per share

(iii)  The Company yesterday granted options over ordinary shares of 2.5p each in BAE Systems plc under the BAE Systems Long-Term Incentive Plan 2014 ("Performance Shares") at nil consideration to the following PDMRs as set out below:

* awards granted to the US PDMRs are automatically released, subject to the performance condition having been met, without the need to exercise an option.

(iv)  Conditional awards of shares were granted yesterday under the BAE Systems Long-Term Incentive Plan 2014 ("Restricted Shares") over ordinary shares of 2.5p each in BAE Systems plc at nil consideration to the following PDMRs as set out below:
