Controlling shareholder announcement

The Company refers to its announcements dated 25 February, 24 and 27 March 2015
and to an announcement made earlier today in Israel by BGI Investments (1961)
Ltd. ("BGI") (which beneficially owns Company shares representing approximately
25.02% of the total issued and outstanding share capital of the Company
(excluding dormant shares) and controls in aggregate, directly and through
proxies, approximately 44% of the voting rights in the Company). Capitalised
terms used but not defined herein shall have the meanings given to them in the
Company's announcement of 24 March 2015.

On 30 March, 2015, Israel 18 B.V. ("Israel 18"), which is the controlling
shareholder of BGI, received a letter sent on behalf of Mr Zvi Williger and Y.M
Dekel Holding & Investment Ltd, claiming that Israel 18 has allegedly breached
the terms and conditions of the Loan Agreement and demanding the return of the
Loan Amount currently held in the Escrow Account.

Israel 18 has refuted the allegations in full.

The Company will update the market in respect of further developments with
regards to above, as appropriate.
