Share Awards for new Chief Financial Officer

As previously announced, Tony Quinlan has joined Laird PLC ('the Company') with effect from 1 July 2015.  He will be appointed to the Board on 28 July 2015.

In accordance with the Company's Remuneration Policy and the terms agreed with Mr Quinlan, the Company determined to buy-out certain of his share awards with his previous employer which lapsed on his cessation of employment.

The buy-out awards take the form of Laird PLC share awards, with the following terms and conditions:-

1. All awards are subject to Mr Quinlan remaining in relevant employment on the vesting dates set out below and not being under notice of cessation at the time of vesting.

2. The awards over 26,611 shares and 69,390 shares are also subject to the satisfaction of performance conditions.

1.    9,029 Shares which shall vest on the Vesting Date of 27/02/2016

2.    17,646 Shares which shall vest on the Vesting Date of 27/02/2016

3.    7,318 Shares which shall vest on the Vesting Date of 28/02/2017

4.    17,810 Shares which shall vest on the Vesting Date of 04/03/2018

5.    26,611 Shares which shall vest on the Vesting Date of 28/02/2017 and providing the Performance Condition set out below has been satisfied;

6.    69,390 Shares which shall vest on the Vesting Date of 04/03/2018 and providing the Performance Condition set out below has been satisfied.

1.    Straight line vesting between points.

2.    The Remuneration Committee has discretion to determine the method of calculation of the Performance Condition.

3.    Total Shareholder Return (Relative TSR) performance, on a ranked basis relative to the FTSE 250 (excluding FS sector companies and Investment Trusts.)

4.    Average Annual Growth in Continuing Earnings per Share (EPS Growth) is calculated with reference to underlying earnings per share, before exceptional items, the amortisation of acquired intangible assets, deferred tax on acquired intangible assets and goodwill, the gain or loss on disposal of businesses, the impact arising from the fair valuing of financial instruments and acquisition transaction costs.
