Issue of Equity and Total Voting Rights

Octopus Apollo VCT plc (the "Company") announces that 2,413,053 Ordinary Shares of 10p each have been issued and allotted today at a price of 89.3p per share, equivalent to the current NAV of 84.8p grossed up by up to 5.0% (as set out in the Prospectus dated 24 October 2014). These shares were issued pursuant to the Offer for Subscription to raise up to £20 million, with an over allotment facility of £10 million, in the 2014/2015 and 2015/2016 tax years.

 An application has been made to the London Stock Exchange for admission of the new shares.   Admission is expected to become effective on or around 16 July 2015.

The issued share capital and total voting rights of the Company is now 151,689,821, comprising   99,884,002 Ordinary 10p Shares and 51,805,819 C Ordinary 1p Shares.
