Removal of C Share Class and Total Voting Rights

Further to the Company's C Share Conversion ("C Share Conversion") and C Share Dividend that took place on 21 August 2015, the Company's C Shares were removed from the Official List of the UK Listing Authority with effect from 8am on 25 August 2015.

Following the issue of 19,809,055 Ordinary Shares as a result of the C Share Conversion, the capital of the Company consists of 119,639,715 Ordinary Shares with a nominal value of £0.10 each.

The Company does not hold any Ordinary shares in Treasury.

Therefore, the total number of voting rights in the Company is 119,639,715 (the 'Figure').

The Figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest or a change to their interests in the Company under the FCA's Disclosure and Transparency Rules.
