Issue of Equity and Total Voting Rights

Octopus Eclipse VCT plc (the "Company") announces that 1,502,558 Ordinary Shares of 10p each ("shares") were issued and allotted today at a price of 36.2p per share, equivalent to the current NAV of 34.2p grossed up by up to 5.5% (as set out in the Offer document dated 19 January 2015). These shares were issued pursuant to an Offer for Subscription to raise up to £3.8 million in the 2014/2015 and 2015/2016 tax years.

Application has been made to the London Stock Exchange for admission of the new shares. Admission is expected to become effective on or around 15 October 2015.

The issued share capital and total voting rights of the Company is now: 101,216,795.
