All Employee Share Plan

Jardine Lloyd Thompson Group plc (the "Company") was notified on 12^th November 2015 that, on 12^th November 2015, the Trustees of the Company's All Employee Share Plan ("the Plan") allocated shares of £0.05 each in the Company ("Shares") to each of the following Directors of the Company/Persons Discharging Managerial Responsibilities in the Company ("PDMRs") as set out below:

These Shares have been acquired by way of market purchase at a price of 896.5p per Share.

The Plan is an Inland Revenue approved All Employee Share Ownership Scheme.

The Trustees have purchased a total of 7,624 JLT Shares by way of market purchase at 896.5p per Share on the same date on behalf of directors and employees of companies in the Jardine Lloyd Thompson Group, including certain UK subsidiary companies.  This includes the Shares allocated to the aforementioned individuals.
