Transaction in Own Shares

Wolseley plc (the "Company") announces that it has purchased, in accordance with the authority granted by shareholders at the Company's Annual General Meeting on 25 November 2014, the following number of its ordinary shares of 10 ⁵³/₆₆ pence each ("Shares") as part of the share repurchase programme announced on 29 September 2015:

Highest price paid per Share:                         3,800 pence

Lowest price paid per Share:                          3,775 pence

Average price paid per Share:                        3,790.71 pence

The Company intends to hold these Shares in Treasury.

Including Shares which have been purchased but not yet settled, the Company holds 11,431,569 Shares in Treasury.

The Company has 255,173,815 Shares in issue (excluding Shares held in Treasury). This number represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
