NOTIFICATION OF TRANSFER OF SHARES OUT OF TREASURY

Wolseley plc (the "Company") wishes to announce that on 28 January 2016, it transferred 17,125 ordinary shares of the Company of 10 ⁵³/₆₆p each held by the Company in treasury ("Treasury Shares") to an employee of the Wolseley Group in satisfaction of an option award under the Wolseley Group Long Term Incentive Plan 2012 ("LTIP 2012").  All the shares under option under the LTIP 2012 were nil cost.

As a consequence of that transfer, the Company now holds 11,372,451 Treasury Shares and its issued share capital (excluding Treasury Shares and including 22,585 shares issued since 31 December 2015) is 255,245,556. 

The total voting rights figure (of 255,245,556) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.

This disclosure is made pursuant to the Financial Conduct Authority's Listing Rule 12.6.4R.
