Notification of Transactions of a Director/Persons Discharging Managerial Responsibility and Connected Persons

Henry Boot PLC ('the Company') has been advised by Mr John Trevor Sutcliffe, Chief Executive Officer of Henry Boot PLC, that on Friday 22 April 2016, he sold 7,100 Ordinary Shares of 10 pence each in the share capital of the Company to his adult daughter, Miss Isabelle Rose Sutcliffe, at a sale price of 213.00p pence per share.

Following this transaction, Mr Sutcliffe has a total beneficial interest of 494,795 Ordinary Shares representing 0.375% of the issued share capital of the Company.
