NOTIFICATION OF TRANSFER OF SHARES OUT OF TREASURY

Wolseley plc (the "Company") wishes to announce that on 5 May 2016, it transferred 194 ordinary shares of the Company of 10 ⁵³/₆₆p each held by the Company in treasury ("Treasury Shares") to an employee of the Wolseley Group in satisfaction of options under the Wolseley Group International Sharesave Plan.  The exercise prices of shares under option were between 2768 pence and 3253 pence per share.

As a consequence of that transfer, the Company now holds 13,516,469 Treasury Shares and its issued share capital (excluding Treasury Shares) is 253,119,637. 

The total voting rights figure (of 253,119,637) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
