NOTIFICATION OF TRANSACTION IN SHARES BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES

Grants under Howden Joinery Group plc Long-Term Investment Plan

The Company announces that on 5 May 2016 it granted the following Performance Share Plan (PSP) awards of shares to certain Executive Directors and Persons Discharging Managerial Responsibilities ("PDMRs") under the Company's Long-Term Incentive Plan.

The awards will vest after a three year period subject to certain performance conditions being met.

This notification is made pursuant to the Disclosure and Transparency Rule 3.1.4R (1) (a).
