ISSUE OF EQUITY

The Company announces that, on 25 May 2016, it sold from treasury 80,000 Ordinary shares of 25p each (the "New Shares") for cash at a price of 949.2507p.  The New Shares rank pari passu with the existing Ordinary shares and dealings are expected to commence on 27 May 2016.

Following this issue of shares, the total number of Ordinary shares in issue is 127,060,789 and the number of B Ordinary shares in issue is 938,892 with each Ordinary and B Ordinary share holding one voting right.  There are 541,163 Ordinary shares remaining in Treasury.

The total number of voting rights in the Company is 127,999,681 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
