Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Christopher Hill, a Director, has increased his shareholding in the Company from 0 to 14,363 ordinary shares of 0.4 pence ("ordinary shares").

Hargreaves Lansdown plc has received notification from Christopher Hill, a Director, that on 15^th September 2016 he exercised the following nil cost share options granted under the Unapproved Executive Share Option Scheme:

The market value at the date of exercise was £12.74.  No new shares have been issued as a result of the exercise of the share options.

Following the exercise of the share options, Mr Hill sold a total of 12,737 ordinary shares at a price of £12.72 per share.  This sale was solely made to meet the cost of the taxation arising on their exercise and the transaction results in an overall increase in Mr Hill's holding in the Company.  The number of ordinary shares sold represented 0.0027% of the ordinary shares in issue.  

Following these transactions, the beneficial shareholding of Mr Hill (including his connected persons) is 14,363 ordinary shares representing 0.003% of the ordinary shares in issue.  

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR.
