Exercise of Share Options and Retention of Resulting Shares by a Director

Paysafe Group plc (LSE: PAYS, the "Company") has been notified that Joel Leonoff, President and Chief Executive Officer of the Company, has today exercised options over 3,445,628 Ordinary Shares of £0.0001 each in the Company ("Shares"), in respect of the awards granted to him under the Company's Long-Term Incentive Plan in 2014, at an exercise price of £0.0001 per Share.  All the resulting Shares have been retained by Joel Leonoff.

Following this transaction, Mr Leonoff has an increased interest in a total of 9,768,580 Ordinary Shares, representing approximately 2.01 per cent of the issued share capital of the Company. This number includes the 1,500,000 Ordinary Shares pledged by Mr Leonoff in favour of Equities First Holdings, LLC.
