Adjournment of General Meeting

The Company refers to its announcement of 29 September 2016 and to its announcements of 23 February, 2 March and 20 March 2017 in respect of the upcoming general meeting of the Company to be held on 29 March 2017 (the “GM”). At the request of Adv. Kobie Amster, in his capacity as trustee over 10,278,451 shares of the Company and 24,909,603 shares of the Company’s shareholder, BGI Investments 1961 Ltd., the Tel Aviv District court today accepted Adv. Amster’s request and as such the Company hereby announces that the GM will be postponed until 9.00 a.m. (BST) on 19 April 2017 at the Hilton London Tower Bridge, 5 More London Place, Tooley Street, London SE1 2BY, United Kingdom (the “Adjourned Meeting”). Any forms of proxy or forms of direction submitted for the GM will remain valid for the Adjourned Meeting and, to the extent that shareholders or holders of depositary interests have not yet returned their form of proxy or form of direction in accordance with the instructions printed thereon, shareholders (in the case of forms of proxy) and holders of depositary interests (in the case of forms of direction) shall have until 9.00 a.m. (BST) on 17 April 2017 or 9.00 a.m. (BST) on 16 April 2017 (respectively) to return such forms.
