Date of cancellation of listing and trading

Marlin Bidco Limited ("Marlin Bidco"), a company jointly owned by funds managed and/or advised by Pollen Street Capital Limited and funds advised by BC Partners LLP, announced on 7 July 2017 that an increased and final cash offer pursuant to which Marlin Bidco offered to acquire the entire issued and to be issued ordinary share capital of Shawbrook not already directly or indirectly owned by Marlin Bidco or its concert parties (the "Final Offer") had been declared unconditional in all respects, and that Marlin Bidco held more than 75 per cent. of the issued share capital of Shawbrook (the "Announcement").

As part of the Announcement, Marlin Bidco announced that it intended to procure that Shawbrook would make an application for the cancellation of the listing of Shawbrook's ordinary shares of £0.01 each ("Shawbrook Shares") on the official list maintained by the UK Listing Authority (the "Official List") and for cancellation of trading of Shawbrook Shares on the London Stock Exchange's main market for listed securities.  In the Announcement, Marlin Bidco stated that the cancellation of listing on the Official List and the cancellation of trading on the London Stock Exchange (together, the "Cancellations") would take effect no earlier than 20 business days after the date of the Announcement.  Accordingly, the notice period for the Cancellations commenced on 7 July 2017 (being the date of the Announcement).

Further to the Announcement, Shawbrook today confirms that it is anticipated that the Cancellations will take effect from 8.00 a.m. (London time) on 24 August 2017.
