Update on Proposed Placing and Subscription to raise £5.0 million

and

Open Offer to raise up to £1.0 million

Further to its announcement on 30 October 2017, LightwaveRF plc ("LightwaveRF" or the "Company"), the leading smart home solutions provider, announces that application has been made for 1,802,168 Deferred Settlement Shares to be admitted to trading on AIM and dealings are expected to commence therein on 17 November 2017 ("Admission").

Following Admission, the Company will have 51,376,532 Ordinary Shares in issue; this figure may be used by Shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FCA's Disclosure and Transparency Rules.

Defined terms used in this announcement have the same meanings where appropriate as in the Company's announcement of 30 October 2017.
