Xpediator Plc

("Xpediator" or the "Group")

Proposed Placing to raise approximately £2.8 million

Xpediator, (AIM: XPD) a leading provider of freight management services across the UK and Europe announces that it intends to raise approximately £2.8 million (before expenses) by way of a placing of new ordinary shares of 5 pence each in the Company ("Placing Shares") (the "Placing"). The Placing Shares will be issued at 40p per share being a discount of approximately 3.6 per cent. to the closing share price on 29 November 2017, being the date immediately prior to the date of this announcement.

About Xpediator:

Xpediator is a well-established international provider of freight management services. Established in 1988 by CEO Stephen Blyth, the Company's international network of offices provides regular and direct services linking Eastern Europe, the Balkans and the Baltics with Western Europe, together with logistics and warehousing in the UK and Romania. The business offers integrated freight management within the supply chain logistics and fulfilment sector, through their three main areas: freight forwarding, logistics & warehousing and transport services operating in the UK and eight CEE countries across 22 sites.

On 25 September 2017, Xpediator announced its interim results to 30 June 2017, which showed a 56 per cent. increase in revenue to £49.1m, a 24 per cent. increase in operating profit to £1.3m and a doubling of earnings per share to 0.9p.  The Company also declared an interim dividend of 0.374p per share.  Trading has continued positively in the second half of the year.

Since listing on AIM in August 2017, Xpediator acquired Benfleet Forwarding (in October 2017) and Regional Express (November 2017), in line with its strategy of growth by acquisition.  Together with EMT Logistics, which the Company acquired in March 2017, all three acquisitions are expected to be immediately earnings enhancing and in aggregate are expected to add £30.6m of revenues and £3.1m of EBITDA on an annualised basis.  Each of these acquisitions offers cross-selling opportunities and potential cost synergies, and their integration is proceeding in line with management expectations.

Benfleet Forwarding and Regional Express were both identified by management as potential acquisition targets at the time of the Company's IPO.  Whilst Xpediator has ceased conversations in respect of the third potential acquisition target identified at IPO, several other acquisition opportunities have since been identified which are at various stages of evaluation.  In respect of one such target, the Company has signed non-binding heads of agreement to acquire an established Essex based freight forwarding and logistics business with a cross deck terminal and revenues of £13m.  The business has a global network of agents and three UK offices and offers cross-selling opportunities together with potential synergies from warehouse utilisation.  The consideration would be between £1.8m and £3m on an earnout formula and structured similarly to the Company's recent acquisitions.

Use of funds

The Board intends to raise approximately £2.8m, of which £0.75m would be used to fund the initial cash consideration for the aforementioned acquisition.  In addition, £0.8m would be used to finance other potential acquisition opportunities should they arise.

The Board intends to allocate £0.2m to upgrade its IT systems with the balance of £1.05m for working capital investment.  The Board perceives that economic growth continues to increase demand for transportation services, against static supply with an existing shortage of trucks across Europe.  Accordingly, suppliers of trucking services for freight movement, which are utilised by the Company in the provision of services to its customers, are increasing their preference for clients who can pay on time or early and to encourage this, are offering early payment discounts of up to 5 per cent. The Company estimates up to £0.3m in cost of sales could be saved by taking advantage of these discounts, from a £0.5m investment ignoring the potential benefits arising from improved relationships with suppliers.

The Placing

The Placing Shares are being offered under the Placing by way of an accelerated bookbuild ("Bookbuild") on the Company's behalf by the Company's joint brokers, SP Angel Corporate Finance LLP ("SP Angel") and Cantor Fitzgerald Europe ("Cantor").

Additional information on the Placing is included below.  Attention is drawn to the section headed 'Important Information' and to the Appendix containing the terms and conditions of the Placing (representing important information for Placees only). The Bookbuild will be launched immediately following this announcement.  The Placing Shares will be issued at 40p per share being a discount of approximately 3.6 per cent. to the closing share price on 29 November 2017, being the date immediately prior to the date of this announcement.  The timing for the close of the Bookbuild and the allocation of Placing Shares shall be at the absolute discretion of Cantor and SP Angel, in consultation with the Company.  Xpediator reserves the right to issue a greater or less number of shares through the Placing.  A further announcement will be made following closing of the Placing.

A number of these factors are beyond the Company's control. As a result, the Company's actual future results may differ materially from the plans, goals, and expectations set forth in the Company's forward-looking statements.

Any forward-looking statement made in this Announcement by or on behalf of the Company speak only as of the date they are made. These forward-looking statements reflect the Company's judgement at the date of this Announcement and are not intended to give any assurance as to future results. In particular, each such Placee represents, warrants and acknowledges that:

1.            it is a Relevant Person (as defined above) and undertakes that it will acquire, hold, manage or dispose of any Placing Shares that are allocated to it for the purposes of its business;

2.            in the case of any Placing Shares acquired by it as a financial intermediary, as that term is used in Article 3(2) of the Prospectus Directive, (i) the Placing Shares acquired by it in the Placing have not been acquired on behalf of, nor have they been acquired with a view to their offer or resale to, persons in any Member State of the European Economic Area which has implemented the Prospectus Directive other than Qualified Investors or in circumstances in which the prior consent of SP Angel or Cantor has been given to the offer or resale; or (ii) where Placing Shares have been acquired by it on behalf of persons in any member state of the EEA other than Qualified Investors, the offer of those Placing Shares to it is not treated under the Prospectus Directive as having been made to such persons;

3.            (a) (i) it is not in the United States and (ii) it is not acting for the account or benefit of a person in the United States, unless in the case of this clause (ii), acting with investment discretion for such person or, if such person is a corporation or partnership, the person agreeing to purchase the Placing Shares is an employee of such person authorised to make such purchase; (b) it is a dealer or other professional fiduciary in the United States acting on a discretionary basis for a non-US person (other than an estate or trust) in reliance on Regulation S; (c) it is otherwise acquiring the Placing Shares in an "offshore transaction" meeting the requirements of Regulation S under the Securities Act; or (d) it is a "qualified institutional buyer" (a "QIB") (as defined in Rule 144A under the Securities Act) and it has duly executed an investor letter in a form provided to it and delivered the same to SP Angel or its affiliates;

4.            it is acquiring the Placing Shares for its own account or is acquiring the Placing Shares for an account with respect to which it exercises sole investment discretion and has the authority to make and does make the representations, warranties, indemnities, acknowledgements and agreements contained in this Announcement; and

5.            it understands (or, if acting for the account of another person, such person understands) the resale and transfer restrictions set out in this Appendix.

The Company, SP Angel and Cantor will rely upon the truth and accuracy of the foregoing representations, acknowledgements and agreements.

Details of the Placing

SP Angel and Cantor have entered into an agreement with Xpediator PLC (the "Placing Agreement") under which, subject to the conditions set out in that agreement, each of SP Angel and Cantor has agreed to use its reasonable endeavours to procure subscribers for the number of Placing Shares at the Placing Price that is to be determined as set out below with certain institutional and other investors.

The Placing Shares will, when issued, rank pari passu in all respects with the existing issued Ordinary Shares, including the right to receive dividends and other distributions declared, made or paid following Admission.

Application for admission to trading

Application will be made to the London Stock Exchange for admission of the Placing Shares ("Admission") to trading on AIM. It is expected that Admission will become effective and that dealings in the Placing Shares will commence on AIM at 8.00 a.m. on 4 December 2017.

Participation in, and principal terms of, the Placing

Each of SP Angel and Cantor is arranging the Placing as agent for and on behalf of the Company. Participation in the Placing will only be available to Placees who may lawfully be, and are, invited to participate by SP Angel and Cantor.

The number of Placing Shares to be issued and/or sold will be agreed between SP Angel, Cantor and the Company following completion of a bookbuilding exercise by SP Angel and Cantor (the "Bookbuild"). The number of Placing Shares will be announced on a Regulatory Information Service following the completion of the Bookbuild.

SP Angel and Cantor will determine in their absolute discretion the extent of each Placee's participation in the Placing, which will not necessarily be the same for each Placee and this will be confirmed orally by SP Angel and Cantor as agent of the Company ("Confirmation"). No element of the Placing will be underwritten. Confirmation will constitute an irrevocable legally binding commitment upon that person (who will at that point become a Placee) to subscribe for and/or acquire the number of Placing Shares allocated to it at the Placing Price on the terms and conditions set out in this Appendix (a copy of the terms and conditions having been provided to the Placee prior to or at the same time as such oral confirmation) and in accordance with the Company's articles of association. For the avoidance of doubt, the Confirmation constitutes each Placee's irrevocable legally binding agreement, subject to the Placing Agreements not having been terminated, to pay the aggregate settlement amount for the Placing Shares to be subscribed for and/or acquired by that Placee regardless of the total number of Placing Shares (if any) subscribed for and/or acquired by any other investor(s).

SP Angel and Cantor reserve the right to scale back the number of Placing Shares to be subscribed for and/or acquired by any Placee in the event of an oversubscription under the Placing. SP Angel and Cantor also reserve the right not to accept offers for Placing Shares or to accept such offers in part rather than in whole.

Each Placee will be required to pay to SP Angel or Cantor, on the Company's behalf, the Placing Price for each Placing Share agreed to be acquired by it under the Placing in accordance with the terms set out herein. Each Placee's obligation to acquire and pay for Placing Shares under the Placing will be owed to SP Angel or Cantor and the Company. Each Placee has an immediate, separate, irrevocable and binding obligation, owed to SP Angel or Cantor, to pay to it (or as it may direct) in cleared funds an amount equal to the product of the Placing Price and the number of Placing Shares such Placee has agreed to subscribe for. Each Placee will be deemed to have read and understood the Appendix in their entirety, to the participating in the Placing upon the terms and conditions contained in the Appendix, and to be providing the representations, warranties, agreements, acknowledgements and undertakings, in each case as contained in the Appendix. To the fullest extent permitted by law and applicable Financial Conduct Authority ("FCA") rules (the "FCA Rules"), neither (i) SP Angel nor Cantor, (ii) any of there respective directors, officers, employees or consultants, or (iii) to the extent not contained within (i) or (ii), any person connected with SP Angel or Cantor as defined in the FCA Rules ((i), (ii) and (iii) being together "affiliates" and individually an "affiliate"), shall have any liability to Placees or to any person other than the Company in respect of the Placing.

Irrespective of the time at which a Placee's participation in the Placing is confirmed, settlement for all Placing Shares to be acquired pursuant to the Placing will be required to be made at the same time, on the basis explained below under 'Registration and Settlement'.

Completion of the Placing will be subject to the fulfilment of the conditions referred to below under 'Conditions of the Placing' and to the Placing not being terminated on the basis referred to below under 'Termination of the Placing Agreements'. In the event the Placing Agreement does not otherwise become unconditional in any respect or is terminated, the Placing will not proceed and all funds delivered by the Placee to SP Angel or Cantor in respect of the Placee's participation will be returned to the Placee at the Placee's risk without interest.

By participating in the Placing, each Placee agrees that its rights and obligations in respect of the Placing will terminate only in the circumstances described below and will not otherwise be capable of rescission or termination by the Placee.

By participating in the Placing, each Placee is deemed to have read and understood this Announcement, including the Appendices, in its entirety and to be making such offer on the terms and conditions, and to be providing the representations, warranties, acknowledgements, and undertakings contained in the Appendices.

To the fullest extent permissible by law, neither the Company,  SP Angel, Cantor nor any of their affiliates shall have any liability to Placees (or to any other person whether acting on behalf of a Placee or otherwise). In particular, neither SP Angel nor Cantor, nor any of their affiliates shall have any liability (including to the extent permissible by law, any fiduciary duties) in respect of SP Angel's or Cantor's conduct of the Bookbuild or of such alternative method of affecting the Placing as SP Angel, Cantor and the Company may agree.

Conditions of the Placing

The Placing is conditional upon the Placing Agreement becoming unconditional and not having been terminated in accordance with its terms.

The obligations of SP Angel and Cantor under the Placing in respect of the placing of the Placing Shares are conditional on, amongst other things:

(a)          the Company having complied with its obligations under the Placing Agreement (to the extent that such obligations fall to be performed prior to Admission); and

(b)          Admission having occurred not later than 8.00 a.m. 4 December 2017 or such later date as the Company, SP Angel and Cantor may agree, but in any event not later than 8.00 a.m. on 11 December 2017.

If (i) any of the conditions contained in the relevant Placing Agreement in relation to the Placing Shares are not fulfilled or waived by SP Angel or Cantor by the respective time or date where specified, (ii) any of such conditions become incapable of being fulfilled or (iii) the Placing Agreement is terminated in the circumstances specified below, the Placing will not proceed and the Placee's rights and obligations hereunder in relation to the Placing Shares shall cease and terminate at such time and each Placee agrees that no claim can be made by the Placee in respect thereof.

SP Angel and Cantor, at their discretion and upon such terms as they think fit, may waive compliance by the Company with the whole or any part of any of the Company's obligations (as applicable) in relation to the conditions in the relevant Placing Agreement. Any such extension or waiver will not affect Placees' commitments as set out in this Announcement.

None of SP Angel, Cantor, the Company or any other person shall have any liability to any Placee (or to any other person whether acting on behalf of a Placee or otherwise) in respect of any decision they may make as to whether or not to waive or to extend the time and/or the date for the satisfaction of any condition to the Placing nor for any decision they may make as to the satisfaction of any condition or in respect of the Placing generally, and by participating in the Placing each Placee agrees that any such decision is within the absolute discretion of SP Angel and Cantor.

Termination of the Placing Agreement

Each of SP Angel and Cantor is entitled (but after, where practicable, having consulted with the Company) at any time before Admission, to terminate the Placing Agreement in relation to its obligations in respect of the Placing Shares by giving notice to the Company if, amongst other things:

(a)          the Company fails, in any material respect, to comply with any of its obligations under the Placing Agreement; or

(b)          it comes to the notice of SP Angel or Cantor that any statement contained in the investor presentation (the "Presentation") issued in connection with the Placing or this announcement was untrue, incorrect or misleading at the date of such Presentation or this announcement or has become untrue, incorrect or misleading in each case in any respect which SP Angel or Cantor (acting in good faith) considers to be material in the context of the Placing or that any matter which SP Angel  or Cantor considers to be material in the context of the Placing has arisen which would, if the Placing were made at that time, constitute a material omission therefrom; or

(c)           any of the warranties given by the Company in the Placing Agreement has ceased to be true and accurate in any respect which SP Angel or Cantor (acting in good faith) considers to be material in the context of the Placing by reference to the facts subsisting at the time when notice to terminate is given; or

(d)          it comes to the notice of SP Angel or Cantor that a matter has arisen which is likely to give rise to a claim under any of the indemnities given by the Company in the Placing Agreement which SP Angel or Cantor considers to be material; or

(f)           any other event has occurred in relation to the Group which in the sole opinion of either of SP Angel or Cantor requires a disclosure under, or is in breach of, the AIM Rules or otherwise results in the Presentation or any Press Announcement being or becoming misleading in any respect; or

(h)          any adverse change in the condition (financial, legal, operational or otherwise), earnings, business or assets of the Group which SP Angel or Cantor (acting in good faith) considers to be material in the context of the Group has taken place prior to Admission; or

(e)          there happens, develops or comes into effect: i) a general moratorium on commercial banking activities in London declared by the relevant authorities or a material disruption in commercial banking or securities settlement or clearance services in the United Kingdom which in SP Angel's or Cantor's reasonable opinion is materially adverse in relation to the Placing; or ii) the outbreak or escalation of hostilities or acts of terrorism involving the United Kingdom or the declaration by the United Kingdom or any other Relevant Jurisdiction of a national emergency or war or any other occurrence of any kind which in any such case (by itself or together with any other such occurrence) in the reasonable opinion of SP Angel or Cantor is likely to materially and adversely affect the market's position or prospects of the Group taken as a whole; or iii) any other crisis of international or national effect or any change in any currency exchange rates or controls or in any financial, political, economic or market conditions or in market sentiment which, in any such case, in the reasonable opinion of SP Angel or Cantor is materially adverse.

Upon such termination, the parties to the Placing Agreement shall be released and discharged (except for any liability arising before or in relation to such termination) from their respective obligations under or pursuant to the Placing Agreement subject to certain exceptions.

By participating in the Placing, Placees agree that the exercise by SP Angel or Cantor of any right of termination or other discretion under the Placing Agreement shall be within the absolute discretion of SP Angel or Cantor and that they need not make any reference to Placees and that they shall have no liability to Placees whatsoever in connection with any such exercise or failure so to exercise.

No prospectus

The Placing Shares are being offered to a limited number of specifically invited persons only, and will not be offered in such a way as to require an admission document or prospectus in the United Kingdom or in any other jurisdiction. No offering document, prospectus or admission document has been or will be submitted to be approved by the FCA or submitted to the London Stock Exchange in relation to the Placing and Placees' commitments will be made solely on the basis of the information contained in this Announcement (including the Appendices) released by the Company today, and subject to the further terms set forth in the contract note to be provided to individual prospective Placees.

Placees' commitments will be made solely on the basis of the information contained in this Announcement (including the Appendices) released by the Company today and the Presentation and subject to the further terms set forth in the contract note to be provided to individual prospective Placees. Each Placee, by accepting a participation in the Placing, agrees that the content of  this Announcement (including the Appendices) is exclusively the responsibility of the Company and confirms that it has neither received nor relied on any other information, representation, warranty, or statement made by or on behalf of the Company, SP Angel, Cantor or any other person and none of SP Angel nor Cantor nor the Company nor any other person will be liable for any Placee's decision to participate in the Placing based on any other information, representation, warranty or statement which the Placees may have obtained or received. Each Placee acknowledges and agrees that it has relied on its own investigation of the business, financial or other position of the Company in accepting a participation in the Placing. Nothing in this paragraph shall exclude the liability of any person for fraudulent misrepresentation.

Registration and settlement

Settlement of transactions in the Placing Shares following Admission will take place within the system administered by Euroclear UK & Ireland Limited ("CREST"), subject to certain exceptions. The Company reserves the right to require settlement for and delivery of the Placing Shares (or a portion thereof) to Placees in certificated form if, in the opinion of SP Angel and Cantor, delivery or settlement is not possible or practicable within the CREST system or would not be consistent with the regulatory requirements in the Placee's jurisdiction.

Participation in the Placing is only available to persons who are invited to participate in it by SP Angel or Cantor.

A Placee's commitment to acquire a fixed number of Placing Shares under the Placing will be agreed orally with SP Angel or Cantor. Such agreement will constitute a legally binding commitment on such Placee's part to acquire that number of Placing Shares at the Placing Price on the terms and conditions set out or referred to in the Appendices and subject to the Company's Articles of Association.

Following the close of the Bookbuild, each Placee allocated Placing Shares in the Placing will be sent a trade confirmation in accordance with the standing arrangements in place with SP Angel or Cantor, stating the number of Placing Shares allocated to it at the Placing Price, the aggregate amount owed by such Placee to SP Angel or Cantor and settlement instructions. Each Placee agrees that it will do all things necessary to ensure that delivery and payment is completed in accordance with either the standing CREST or certificated settlement instructions that it has in place with SP Angel or Cantor.

Each Placee agrees that it will do all things necessary to ensure that delivery and payment is completed in accordance with the standing CREST or certificated settlement instructions that it has in place with SP Angel or Cantor.  Settlement should be through SP Angel or through Cantor. For the avoidance of doubt, Placing allocations will be booked with a trade date of 30 November 2017 and settlement date of 4 December 2017.

The Company will deliver the Placing Shares to the CREST account operated by SP Angel as agent for the Company and SP Angel and Cantor will enter their delivery (DEL) instruction into the CREST system. The input to CREST by a Placee of a matching or acceptance instruction will then allow delivery of the relevant Placing Shares to that Placee against payment.

It is expected that settlement will take place on 4 December 2017, on a delivery versus payment basis.

Interest is chargeable daily on payments not received from Placees on the due date in accordance with the arrangements set out above at the rate of two percentage points above LIBOR as determined by SP Angel and Cantor.

Each Placee is deemed to agree that, if it does not comply with these obligations, the Company may sell any or all of the Placing Shares allocated to that Placee on such Placee's behalf and retain from the proceeds, for the Company's account and benefit, an amount equal to the aggregate amount owed by the Placee plus any interest due. The relevant Placee will, however, remain liable for any shortfall below the aggregate amount owed by it and may be required to bear any stamp duty or stamp duty reserve tax (together with any interest or penalties) which may arise upon the sale of such Placing Shares on such Placee's behalf.

If Placing Shares are to be delivered to a custodian or settlement agent, Placees should ensure that the trade confirmation is copied and delivered immediately to the relevant person within that organisation. Insofar as Placing Shares are registered in a Placee's name or that of its nominee or in the name of any person for whom a Placee is contracting as agent or that of a nominee for such person, such Placing Shares should, subject as provided below, be so registered free from any liability to UK stamp duty or stamp duty reserve tax. Placees will not be entitled to receive any fee or commission in connection with the Placing.

The foregoing representations, warranties and confirmations are given for the benefit of the Company, SP Angel and Cantor. The agreement to settle a Placee's subscription (and/or the subscription of a person for whom such Placee is contracting as agent) free of stamp duty and stamp duty reserve tax depends on the settlement relating only to the subscription by it and/or such person direct from the Company for the Placing Shares in question. Such agreement assumes, and is based on a warranty from each Placee, that neither it, nor the person specified by it for registration as holder, of Placing Shares is, or is acting as nominee or agent for, and that the Placing Shares will not be allotted to, a person who is or may be liable to stamp duty or stamp duty reserve tax under any of sections 67, 70, 93 and 96 of the Finance Act 1986 (depositary receipts and clearance services). If there are any such arrangements, or the settlement relates to any other dealing in the Placing Shares, stamp duty or stamp duty reserve tax may be payable. In that event the Placee agrees that it shall be responsible for such stamp duty or stamp duty reserve tax, and none of the Company, nor SP Angel nor Cantor shall be responsible for such stamp duty or stamp duty reserve tax. If this is the case, each Placee should seek its own advice and notify SP Angel and Cantor accordingly;

38.          accordingly it acknowledges and agrees that it will not hold SP Angel or Cantor or any of their affiliates or any person acting on their behalf responsible or liable for any misstatements in or omission from any publicly available information relating to the Company or information made available (whether in written or oral form) in presentations or as part of roadshow discussions with investors relating to the Company (the "Information") and that neither SP Angel nor Cantor nor any person acting on behalf of SP Angel makes any representation or warranty, express or implied, as to the truth, accuracy or completeness of such Information or accepts any responsibility for any of such Information; and

41.          it is not a Plan (which term includes (a) employee benefit plans that are subject to Section 406 of the US Employee Retirement Income Security Act of 1974, as amended ("ERISA"), or plans, individual retirement accounts and other arrangements that are subject to Section 4975 of the US Internal Revenue Code of 1986, as amended (the "Code"), (b) plans, individual retirement accounts and other arrangements that are subject to provisions under applicable US federal, state, local or other laws or regulations that are substantially similar to Section 406 of the ERISA or Section 4975 of the Code ("Similar Laws") and (c) entities the underlying assets of which are considered to include "plan assets" of such plans, accounts and arrangements) and are not purchasing the Placing Shares on behalf of, or with the "plan assets" of, any Plan.
