Director/PDMR Shareholding

Genus plc (LSE: GNS) announces the vesting on 14 September 2019 of conditional nil-cost options and conditional shares granted in 2016 under the Genus 2014 Performance Share Plan (the 'PSP') and conditional nil-cost options granted in 2016 under the Genus Deferred Share Bonus Plan (the 'DSBP'), as listed in Table A, Table B and Table C below respectively, to members of the Genus Executive Leadership Team ('GELT').

Conditional nil-cost options granted under the PSP were subject to relevant performance conditions, measured over a three-year performance period which commenced on 1 July 2016 and ended on 30 June 2019. Following assessment of the performance conditions, the Remuneration Committee determined that the awards would vest at 78.9% of the original grant. The balance of the awards made to the PDMRs listed in table A have lapsed.

Genus further announces that following the vestings:

·     Angelle Rosata, Group Human Resources Director, sold ordinary shares in Genus on 16 September 2019 on the London Stock Exchange, with income tax and social security liabilities due on the release being deducted from the sale proceeds and the balance of funds retained, as listed in Table B;

·     Janet Duane, Interim Group Finance Director, sold sufficient ordinary shares in Genus on 16 September 2019 on the London Stock Exchange to offset income tax and social security liabilities due on the sale and retained the balance of ordinary shares, as listed in Table B; and

·     Jerry Thompson, Chief Operating Officer Genus ABS Beef, sold sufficient ordinary shares in Genus on 17 September 2019 on the London Stock Exchange to offset income tax and social security liabilities due on the exercises and retained the balance of ordinary shares, as listed in Table D.

The below notifications, made in accordance with the requirements of the EU Market Abuse Regulation, give further detail on the number of conditional shares released and ordinary shares sold on 16 September 2019, and the number of nil-cost options exercised and ordinary shares sold on 17 September 2019.
