Director Resignation

On 7 February 2012, Grupo Clarín S.A. (the "Company") informed the Argentine Securities Commission and the Buenos Aires Stock Exchange that on 6 February 2012, Messrs. Muneer Satter and David Castelblanco, both of them members of the Board of Directors representing holders of the Company's Class "C" shares, had tendered their respective resignations.  

The Company will consider their resignations promptly at the next meeting of the Board of Directors.  The alternate members of the Board of Directors representing the Class "C" shareholders are Messrs. Ralph Booth II and Luis Maria Blaquier.
