Transfer of shares held in treasury

Micro Focus International plc announces that participants in the Company's employee share schemes have exercised the following options over ordinary shares of 11 ⁴/₁₁ pence each:

7,528 options at a price of 244.75 pence per share; and

738 options at a price of 401.6 pence per share.

These shares, all formerly held as treasury shares, were transferred to the participants on

3 July 2012.

Following the above transfer of shares out of treasury, the Company confirms that its issued share capital comprises 181,584,057Ordinary Shares of 11⁴/₁₁ pence each, of which 17,796,879 Ordinary Shares are held in Treasury. Therefore, the total number of voting rights in the Company is 163,787,178.
