ICAP plc ("the Company")



Treasury Shares



The Company announces that on 14 April 2008 it transferred to a participant in
its 2006 Sharesave Scheme 1,370 ordinary shares at £3.88 and to participants in
its 2007 Sharesave Scheme 750 ordinary shares at £4.19. These shares were
previously held as treasury shares.

Following the above transactions, the Company holds 1,049,049 ordinary shares in
Treasury, and has 648,349,916 ordinary shares in issue (excluding Treasury
shares).
