                              Total Voting Rights


For the purposes of the transitional provisions of the Financial Services
Authority's Disclosure and Transparency Rules, the total number of ordinary
shares of 6p each in the capital of the Company in issue as at the date of this
notice is 34,129,763 with each share carrying the right to one vote.


There are no shares held in treasury.


Therefore, the total number of voting rights in the Company is 34,129,763.


The above figure may be used by shareholders in the Company as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the share capital of the
Company under the Disclosure and Transparency Rules.
