Voting rights and capital


In conformity with the Transparency Directive's Rule 5.6.1 we would like to
notify the market that Xaar plc's capital consists of 62,869,664 ordinary shares
with voting rights.


The above figure (62,869,664) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Xaar plc under the FSA's
Disclosure and Transparency Rules.
