ROTORK p.l.c. - VOTING RIGHTS AND CAPITAL

In conformity with the FSA's Disclosure and Transparency Rule 5.6, we wish to notify the market of the following as at 30 May 2008.

Rotork p.l.c.'s capital consists of 86,498,575 ordinary shares with voting rights. Rotork p.l.c. holds no treasury shares.

Therefore the total number of voting rights in Rotork p.l.c. is 86,498,575.

The above figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest, or a change to their interest, in Rotork p.l.c. under the FSA Disclosure and Transparency Rules.
