2 June 2008 FirstGroup plc Transfer of shares held in treasury

FirstGroup plc ("the Company") announces that on 2 June 2008 it transferred to participants in the Company's employee SAYE scheme 5,699 ordinary shares (5,247 for the maturity of the SAYE2004 scheme at a price of 267 pence per share, 234 for the early exercise of options of the SAYE2006 scheme at a price of 325 pence per share and 218 for the early exercise of options of the SAYE2006B scheme at a price of 444 pence per share). The shares were all formerly held as treasury shares.

Following the above transfer of shares out of treasury, the Company holds a total of 372,555 of its ordinary shares in treasury. The total number of ordinary shares in issue excluding treasury shares is 481,694,615.
