Total voting rights and share capital

For the purposes of the Financial Service Authority's Disclosure and Transparency Rules, the total number of ordinary shares of £0.001 each of the Company ("Ordinary Shares") in issue as at the date of this notice is 504,784,863 with each Ordinary Share carrying the right to one vote.

There are no shares held in treasury.

Therefore the total number of voting rights in RAB Capital plc is 504,784,863.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, RAB Capital plc under the Disclosure Rules and Transparency Rules.
