Exercise of Executive Share Options

Stagecoach Group plc ("the Company") has been notified today, 2 July 2008, of the following director transaction in the securities of the Company. The transaction has been notified in accordance with Disclosure Rule 3.1.4R(1)(a).

The undermentioned employee exercised Executive Share Options over Ordinary Shares of 56/57th pence each in the Company.

The Executive Share Options exercised were as follows:

The 126,935 Ordinary Shares of 56/57th pence each exercised were then sold at an price of £2.81 per share, resulting in total proceeds of £356,687 before deducting transaction costs and taxes.  

Following these transactions, the individual's interests in the securities of the Company are as follows:

In addition, Martin Griffiths is a potential beneficiary of the Stagecoach Group Employee Benefit Trust 2003 and the Stagecoach Group Qualifying Employee Share Trust, which together hold 4,821,525 Ordinary Shares of 56/57th pence each, representing 0.7% of the total Ordinary Shares in issue.
