Exercise of Executive Share Options

Stagecoach Group plc ("the Company") has been notified today, 3 July 2008, of the following transaction in the securities of the Company by a person discharging managerial responsibility. The transactions have been notified in accordance with Disclosure Rule 3.1.4R(1)(a).

The Company received notification that the undermentioned employee exercised Executive Share Options over Ordinary Shares of 56/57th pence each in the Company and subsequently sold those shares.

The Executive Share Options exercised were as follows:

The 75,748 Ordinary Shares of 56/57th pence were sold at a price of £2.7846 per share, resulting in total proceeds of £210,928 before deducting transaction costs and taxes.  

Following these transactions, the individual's interests in the securities of the Company are as follows:

In addition, Les Warneford is a potential beneficiary of the Stagecoach Group Employee Benefit Trust 2003 and the Stagecoach Group Qualifying Employee Share Trust, which together hold 4,745,777 Ordinary Shares of 56/57th pence each, representing 0.7% of the total Ordinary Shares in issue.
