- Notification of Major Interest in Shares

The Goldman Sachs Group, Inc.

On 4 July 2008, the Company received notification from The Goldman Sachs Group, Inc. ("GS Inc") (under the obligations imposed by Section DTR5 of the FSA's Disclosure & Transparency Rules) that, as at 2 July 2008, GS Inc had a notifiable interest in the voting rights attached to 62,861,052 Ordinary 13 8/9p shares representing 16.10% of the total voting rights in The Rank Group Plc.

Notes

Indirect Interest (i.e. as custodian for its customers):

a)    The interest in 61,093,669 shares (15.64% of the Company's total voting rights) arose from an interest held by Goldman, Sachs & Co., a wholly-owned direct subsidiary of GS Inc, acting as custodian for its customers. These shares are, or will be, registered in the name of Goldman Sachs Securities (Nominees), Limited.

The voting rights in respect of 61,033,669 of the shares comprised in the above indirect interest (representing 15.63% of the Company's total voting rights) were included in an RNS announcement issued by the Company on 4 July 2008. These voting rights are held by Asia Fountain Investment Company Limited ("AFI"). AFI is a controlled undertaking of Guoco Equity Assets Limited, which is a controlled undertaking of Guoco Group Limited ("GGL"). GGL is a controlled undertaking of GuoLine Overseas Limited which is a controlled undertaking of GuoLine Capital Assets Limited ("GCAL"). GCAL is a controlled undertaking of Hong Leong Company (Malaysia) Berhad.

Direct Interest (i.e. proprietary ownership):

b)    The interest in 1,767,383 shares (0.45% of the Company's total voting rights) arose from a beneficial interest held by Goldman Sachs International, a wholly-owned indirect subsidiary of GS Inc. These shares are, or will be, registered at CREST in account CREPTEMP.
