7 July 2008 FirstGroup plc Transfer of shares held in treasury

FirstGroup plc ("the Company") announces that on 7 July 2008 it transferred to participants in the Company's employee SAYE scheme 10,960 ordinary shares (10,482 ordinary shares for the maturity of the SAYE2004 scheme at a price of 267 pence per share and 478 ordinary shares for the early exercise of shares held in the SAYE2006 scheme at a price of 325 pence per share). The shares were all formerly held as treasury shares.

Following the above transfer of shares out of treasury, the Company holds a total of 323,474 of its ordinary shares in treasury. The total number of ordinary shares in issue excluding treasury shares is 481,743,696.
