WS Atkins plc Total Voting Rights

In accordance with paragraph 5.6.1 of the Disclosure and Transparency Rules, WS Atkins plc ("the Company") notifies the market of its ordinary share capital as at close of business on 31 July 2008:

Total issued ordinary share capital: 104,451,799 ordinary shares, each carrying the right to one vote

Held in treasury: 4,341,000 ordinary shares, carrying no voting rights

Total number of voting rights in the Company: 100,110,799

The figure of 100,110,799 ordinary shares may be used by shareholders for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
