In accordance with the Financial Services Authority's Disclosure and Transparency Rule 5.6.1., Provident Financial plc hereby gives notice that as at 29 August 2008, the company's issued share capital consisted of 131,266,429 ordinary shares of 20 8/11p each, with voting rights. Provident Financial plc does not hold any ordinary shares in Treasury.

Therefore, the total number of voting rights in Provident Financial plc is 131,266,429.

The above figure (131,266,429) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Provident Financial plc under the Financial Services Authority's Disclosure and Transparency Rules.
