GKN plc Transfer of Treasury Shares

GKN plc (the `Company') announces that on 16 September 2008 the following ordinary shares of 50p each have been transferred out of treasury to satisfy the exercise of options by former employees under the GKN Executive Share Option Scheme 2001:

22,864 ordinary shares at 163.05p per share.

Following the above transfer of treasury shares, the Company holds 38,421,897 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding treasury shares) is 705,482,047.
