Issue of Shares 


Further to its announcement of 16 September 2008, Zambezi Resources Limited ("Zambezi" or the "Company") (AIM: ZRL; ASX:ZRL) has issued and allotted 4,651,767 Ordinary Shares with 1,550,589 attaching Options on 25 September 2008, due to shortfall applications pursuant to the Rights Issue Prospectus announced on  31 July 2008. 

Application has been made for these 4,651,767 new Ordinary Shares to be admitted to trading on AIM and dealings are expected to commence on 2 October 2008. Following the issue of these 4,651,767 new Ordinary Shares, the issued share capital of the Company is 197,876,174 Ordinary Shares.
