Transfer of shares held in Treasury

Tomkins plc (the "Company") announces that on 2 October 2008, transfers were registered involving its Treasury Shares account, resulting in a reduction of 226,423 shares held in the account. The transfers were for nil consideration between the Company and certain of its group employees in relation to their share entitlements under the Company's annual bonus incentive plan. The Company was informed of the registration of the transfers on 8 October 2008.

Following the transfer, the Company holds 3,142,744 shares in Treasury and has 881,009,028 shares in issue (excluding Treasury shares).
