Director/PDMR Shareholding



The Company has today been informed that the Darling 8 Discretionary Settlement disposed of 57,400 ordinary shares in the capital of the Company on 8 April 2008 to Kettley International Limited, at a price of 75p per share. 


Both the Darling 8 Discretionary Settlement and Kettley International Limited are deemed to be members of the Cedric Pochin Concert Party. 


The trustees of the Darling 8 Discretionary Settlement include James William Pochin Nicholson, an executive director of the Company, who is also deemed to be a member of the Cedric Pochin Concert Party.


The children of James William Pochin Nicholson are beneficiaries under the Darling 8 Discretionary Settlement and therefore James William Pochin Nicholson now has a beneficial interest in 494,545 ordinary shares in the Company, in addition to a non-beneficial holding in 8,700 ordinary shares in the Company, being 2.37 per cent of the total voting rights of the Company.


Kettley International Limited now has a beneficial interest in 5,635,899 ordinary shares of the Company being 27.10 per cent of the total voting rights of the Company.


The number of shares held by the Cedric Pochin Concert Party therefore remains unchanged at 42.1 per cent of the total voting rights of the Company.
