Posting of circular convening a general meeting

In order to meet the continuing demand for shares in Baillie Gifford Shin Nippon PLC (the "Company"), the Board of Directors of the Company (the "Board") is seeking shareholder approval to renew the disapplication of statutory pre-emption rights on the issue of shares in the capital of the Company.

Accordingly, the Company has today issued a circular convening a general meeting (the "General Meeting") to be held at  2.45 p.m. on 13 December 2017 at the offices of Baillie Gifford & Co, Calton Square, 1 Greenside Row, Edinburgh EH1 3AN.

At the General Meeting, a resolution will be put to shareholders to disapply statutory pre-emption rights in relation to the allotment of shares up to an aggregate nominal value of £446,804.90 (amounting to an authority to allot up to 4,468,049 shares) representing approximately 10 per cent. of the Company's issued share capital as at 14 November 2017 (the "Resolution").  The authority conferred by the Resolution will lapse at the conclusion of the next annual general meeting of the Company which is expected to be held in May 2018.

The Board believes that the authority sought at the General Meeting will allow them to satisfy the expected strong demand for shares in the period from the General Meeting to the Company's next annual general meeting.
