The company received antitrust clearance from US authorities last month, so all conditions related to antitrust approvals have now been met.
BATS said both parties continue to expect the deal to close in the third quarter, subject to satisfaction or waiver of the other closing conditions specified in the merger agreement.
British American Tobacco agreed a $49bn deal back in January to take control of its US rival - buying the 57.8% stake it does not already own - creating the world's largest tobacco group.
At 1240 BST, BATS shares were flat at 5,288p.
