NOTIFICATION OF TRANSFER OF SHARES OUT OF TREASURY

Wolseley plc (the "Company") wishes to announce that on 29 May 2015, it transferred 908 ordinary shares of the Company of 10 ⁵³/₆₆ pence each held by the Company in treasury ("Treasury Shares") to former employees of the Wolseley Group in satisfaction of options and awards under the Company's International Sharesave Plan 2011.  The exercise price of each share under option was between 1,956 pence and 2,768 pence.

As a consequence of that transfer, the Company now holds 6,384,394 Treasury Shares and its issued share capital (excluding Treasury Shares) is 260,208,284. 

The total voting rights figure (of 260,208,284) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
