DIRECTOR/PDMR SHAREHOLDING

Kier Group plc (the "Company") announces that it was informed on 7 October 2015 that, also on 7 October 2015, the following dealings in the share capital of the Company took place:

As part of his personal financial planning, Mr Nigel Turner, an executive director of the Company, transferred 2,833 ordinary shares in the capital of the Company to Dartington Portfolio Nominees Limited for nil consideration to be held on his behalf. He subsequently transferred the beneficial interest in 1,417 ordinary shares to his spouse, Mrs Juliet Turner, for nil consideration.

Mr Nigel Turner and Mrs Juliet Turner sold their interests in 1,416 shares and 1,417 shares, respectively, at a price of £13.94 per share and immediately acquired interests in 1,416 shares and 1,417 shares, respectively, at a price of £13.95 to be held on their behalf by Cabot Portfolio Nominees Limited.

As at the date of this announcement, Mrs Juliet Turner has interests in 8,526 shares in the capital of the Company (0.009% of the issued share capital).

The total interest in the share capital of the Company of Mr Nigel Turner, when aggregated with those interests of Mrs Juliet Turner, remain at 28,259 (0.03% of the issued share capital).
