Notification of transactions by a Director

Issue of Share Options

The Board of Stilo International plc ("Stilo" or the "Company") (LSE:STL), the AIM quoted software and cloud services company, announces that it has received notification that Les Burnham, Executive Director and CEO, has exercised 2,600,000 ordinary shares of 1p each  in the Company (the "Option Shares") at an exercise price of 1.5pence per share.

The Board also announces that it has granted options over 6,600,000 ordinary shares of 1p each under the Company's EMI Share Scheme exercisable at 3.75p per share (the "EMI Share Options").  The Board has also granted options over a further 2,600,000 ordinary shares of 1p each to certain other employees of the Company under the Company's Unapproved Share Scheme (the "Unapproved Options"), also with an exercise price of 3.75p per share.  The EMI Shares Options and the Unapproved Options were granted by a resolution of the Board on 15 September 2015.

The EMI Share Options and the Unapproved Options will vest and may be exercised between 15 September 2017 and 15 September 2025.

Following the exercise of the Share Options, and the grant of the EMI Options, Les Burnham has a beneficial interest in 7,600,000 ordinary shares of 1p each representing approximately 6.76% of the issued share capital of the Company and a total of 6,600,000 share options representing approximately 5.87% of the issued share capital of the Company.

Application has been made for the 2,600,000 Option Shares to be admitted to trading on AIM and it is expected that admission will take place on 27 October 2015.

The Option Shares will rank pari passu with the existing shares of the Company.  Following allotment of the Option Shares, the total issued share capital of the Company has increased to 112,408,470 ordinary shares.
