ISSUE OF EQUITY

The Board of Witan Investment Trust plc hereby gives notification that, pursuant to the authority granted at the Annual General Meeting of the Company held on 30 April 2015 to allot shares for cash, it has today issued a further 200,000 ordinary shares of 25p each at 785.5 pence per share. The shares were issued at a premium to the prevailing ex dividend net asset value. These shares rank pari passu with the existing ordinary shares in issue.

Following this issue, the Company has the ability to issue a further 8,780,100 ordinary shares under its blocklisting facility.

Following this issue, the Company has in issue 199,411,000 ordinary shares of 25p each.

The capital of the Company with full voting rights is now 199,411,000 ordinary shares of 25p each.  On a poll, ordinary shareholders have one vote for every £1 in nominal value (i.e. four ordinary shares are required for one vote).  Therefore, the total number of voting rights is 49,852,750 (i.e. one vote for every four shares in issue) and this figure may be used as the denominator for calculations of interests in the Company's voting rights.
