Wolseley Group Ordinary Share Plan 2011 ("Plan")

On 25 November 2015, the following PDMR disposed of Shares which vested under the Plan on 6 November 2015.  The total number of Shares disposed set out below included a sale to cover withholding tax liabilities and a further part sale.

The price per Share for the disposal of the Shares was 3,800 pence.

The Company was notified of this transaction on 25 November 2015. This disclosure is made pursuant to the Financial Conduct Authority's Disclosure and Transparency Rule 3.1.4 R. The transaction took place in the UK.
